The Federal Service for Financial Markets of Russia (FSFM) has registered the additional share issues and share placement reports of uncertificated registered ordinary shares of the open joint-stock company “Wholesale Generation Company – 2” (Stavropol region), placed through the conversion at merger of OJSC “Serovskaya GRES”, OJSC “Stavropol GRES”, OJSC “Pskovskaya GRES” and OJSC “Troitskaya GRES”.

According to the Resolutions on share issuance and the placement reports, the following amounts of shares were issued:

• 44 857 010 uncertificated registered ordinary shares, par value RUB1 per share, for a total value of RUB 44 857 010. The state registration number assigned to the share issue as of August 31, 2006 is 1-01-65105-D-002D;
• 88 257 396 uncertificated registered ordinary shares, par value RUB1 per share, for a total value of RUB 88 257 369. The state registration number assigned to the share issue as of August 31, 2006 is 1-01-65105-D-003D;
• 621 543 725 uncertificated registered ordinary shares, par value RUB1 per share, for a total value of RUB 621 543 725. The state registration number assigned to the share issue as of August 31, 2006 is 1-01-65105-D-004D;
• 409 168 128 uncertificated registered ordinary shares, par value RUB1 per share, for a total value of RUB 409 168 128. The state registration number assigned to the share issue as of August 31, 2006 is 1-01-65105-D-005D;
• 61 uncertificated registered ordinary shares, par value RUB1 per share, for a total value of RUB 61. The state registration number assigned to the share issue as of August 31, 2006 is 1-01-65105-D-006D;
