OREANDA-NEWS Ozon will launch the procedure for registering a legal entity in the Russian Federation in the coming days, the company said.
"The company will launch the procedure for registering a legal entity in the Russian Federation," the message says. As the press service clarified to RIA Novosti, the registration procedure will be launched "in the coming days."
At the end of July, Ozon reported that the registrar of Cyprus companies had agreed to redomicile Ozon to Russia. At an extraordinary meeting on September 1, the company's shareholders considered the issues necessary to complete the process.
"All issues submitted to the general meeting were adopted by the required number of votes of shareholders who participated in the general meeting, including approval of the new organizational and legal form of the company in Russia, determination of the amount of the company's authorized capital in Russian rubles, approval of the company's charter, which will operate in Russia after the completion of redomicialization, and granting the Board of directors powers to carry out certain actions related to redomicilation," the message says.
At the end of 2024, Ozon shareholders decided to redomicile the company from Cyprus to Russia, and it will be registered in the Kaliningrad Special Administrative Region in the form of the Ozon International Administrative District.
At the end of November, it became known that the company was putting the issue of redomiciling the company from Cyprus to the Russian Federation to the shareholders' vote. According to the company's press service, the redomicilation process is planned to be completed by the end of 2025. The change of jurisdiction will help increase the liquidity of securities for investors, reduce regulatory risks in a key market, allow the resumption of an option program to stimulate and retain employees, and simplify intra-group transactions, the company said.
