OREANDA-NEWS. On June 7, 2013, the Annual General Meeting of Shareholders of OJSC Irkutskenergo was held in Irkutsk. The attendance of shareholders amounted to 95.51%. The shareholders made the following decisions:

• To approve the annual report and the annual financial statements for 2012. In 2012, electricity output totaled 60.910 TWh, which is 2.7% higher than in the previous year; this included 44.670 TWh generated by HPPs (-3.9 year-on-year) and 16.240 TWh generated by CHPPs (+26.4% year-on-year). In 2012, heat output from collectors amounted to 23.748 thousand Gcal (a 2.0% year-on-year increase). In 2012, net electricity output increased by 2.2% year-on-year and totaled 58.054 TWh, while net heat supply to consumers totaled 21.373 mln Gcal, which is 3.6% more than in 2011. In 2012, sales revenue totaled RUB 74.825 bln, having increased by 23.6% year-on-year. Revenue from sales of heat amounted to RUB 12.231 bln (7.5% higher than in 2011). Revenue from sales of electricity generated by the Company and its own capacity totaled RUB 31.910 bln (-RUB 0.452 bln year-on-year). Revenue from sales of purchased electricity and capacity totaled RUB 29.213 bln (+RUB 13,962 bln year-on-year). In 2012, the cost of goods, products, works and services amounted to RUB 57.426 bln (+38% year-on-year). Tax payments amounted to RUB 4.6 bln (-8% year-on-year). In 2012, EBITDA totaled RUB 17.745 bln (-6% year-on-year). In 2012, the Company’s net income amounted to RUB 11.400 bln (which is 7% less than in the previous year). In 2012, actual investment development amounted to RUB 3.938 bln. In 2012, the total amount of investments decreased by RUB 0.277 bln compared to 2011;

• To allocate the income of OJSC Irkutskenergo for 2012 totaling RUB 11.4 bln for the following purposes: RUB 2.526 bln for dividend payments; RUB 1.539 bln for investment activities (core business); RUB 4.23 bln for long-term financial investments; RUB 0.174 bln for social programs and charity; RUB 2.931 bln for working capital financing;

• To pay dividends for 2012 on ordinary shares of OJSC Irkutskenergo amounting to RUB 0.53 per share in cash no later than 60 days after the decision was made;

• To elect the following persons to the Board of Directors of OJSC Irkutskenergo:

2. Boris Kovalchuk, Chairman of the Management Board of OJSC INTER RAO UES,

4. Elena Talalykina, Chief Accountant of OJSC EuroSibEnergo,

5. Irina Travkova, Accountant of OJSC EuroSibEnergo,

• To approve CJSC Intercom-Audit as the auditor of OJSC Irkutskenergo for conducting the audit of financial statements for 2013 prepared in accordance with Russian Accounting Standards;

• To approve CJSC KPMG as the auditor of OJSC Irkutskenergo for conducting the audit of consolidated financial statements for 2013 prepared in accordance with International Financial Reporting Standards (IFRS);

• To approve related non-arm's length transactions between OJSC Irkutskenergo and Gazprombank (Open Joint-Stock Company) with a credit limit totaling RUB 2.7 bln;

• To approve the entry of OJSC Irkutskenergo into the Russian Water and Wastewater Association. After joining the Association, OJSC Irkutskenergo will be able to influence the adoption of laws and regulations by submitting proposals to federal agencies concerning the development of draft legislation, amending and repealing current legislation on the issues related to water supply and wastewater disposal, as well as by submitting proposals related to formulating and implementing the government policy on water supply and wastewater disposal on the regional and municipal level. As a member of the Association, OJSC Irkutskenergo will be able to gain access to the databank including Russian and foreign R&D in the sphere of new techniques and technology, information on commercial, pilot and specialized equipment, instruments, products and materials in the sphere of water supply and wastewater disposal, and other information.
