OREANDA-NEWS. On 23 July 2009 was announced, that Trubodetal (Chelyabinsk), part of United Metallurgical Company (OMK) held its Annual General Meeting.

At the Meeting, the Trubodetal Annual Report for 2008 was presented. The Company's revenue in 2008 reached 2,706 million rubles, which is 128 million rubles more than in 2007. Trubodetal's gross profit decreased from 1,323 million rubles in 2007 to 1,045 million rubles in 2008. The sales profit decreased from 989 million rubles in 2007 to 677 million rubles in 2008. Trubodetal's profit tax was 141 million rubles. As a result, the Company's net profit was 370 million rubles, as compared with 674 million rubles in 2007.

The Annual General Meeting approved the Trubodetal Annual Report for 2008 and the Annual Financial Statements, including the Profit and Loss Statement for 2008. The shareholders decided not to announce or pay dividends on Trubodetal shares.

The shareholders elected the following members of the Trubodetal Board of Directors: Oleg Ignatyev (Head of the OMK-Steel Department for Sales of Pipeline Fittings), Sergei Konstantinov (Rimera Director for Legal Groundwork for Business), Nikolay Nazarov (Trubodetal Director General), Svetlana Obolenskaya (OMK Corporate Secretary), Anastasia Poletayeva (Attorney with ASNIS and PARTNERS Firm of Attorneys No. 31 of Moscow City Bar Association No. 1), Vladimir Khristenko (Rimera Director General), Dmitry Chernyshov (OMK Vice President, member of the OMK Management Board).

The Trubodetal Internal Audit Commission, as elected by the Meeting, comprises the following three members: Yelena Ivanina, Aleksey Stunzhan, and Aleksandr Smetanin.

The independent auditor elected for Trubodetal by the shareholders is Intercom-Audit.

In addition, several transactions were approved.
