TimkenSteel (NYSE: TMST) today announced that it intends to offer and sell, subject to market and other conditions, \\$75.0 million aggregate principal amount (or up to an aggregate of \\$86.25 million aggregate principal amount if the underwriters of such offering exercise their over-allotment option in full) of its Convertible Senior Notes due 2021 in a registered public offering.

The notes are expected to mature on June 1, 2021, unless earlier converted or repurchased.  The notes will be convertible at the option of holders in certain circumstances and during certain periods into cash, the company's common shares or a combination thereof, at the company's election. The interest rate, conversion rate and other terms of the notes will be determined at the time of pricing of the notes offering.

The company intends to use the net proceeds received from the notes offering to repay a portion of the amounts outstanding under its asset-based revolving credit facility.

J.P. Morgan Securities LLC will act as sole bookrunner for the notes offering. Deutsche Bank Securities Inc. will act as co-manager for the notes offering.
