OREANDA-NEWS. On 09 July 2009 was announced, that BANK URALSIB (URALSIB or Bank) (RTS: USBN) announces results of the Annual General Meeting of Shareholders (AGM) held in Moscow.

The decision to convene the AGM was made by the Supervisory Board of the Bank on May 12, 2009. May 24, 2009, was set as the closing date of shareholders’ register for participating in the AGM.

The Bank’s shareholders approved the annual report and annual accounting statements, including profit and loss statements as of the financial year 2008. The AGM elected members of the Revision Commission and approved KPMG as the Bank’s Auditor.

URALSIB’s net profit for the financial year 2008 was decided to leave at the disposal of the Bank. The shareholders came to the decision to pass on 2008 dividends.

The AGM also decided to approve the interested-party transactions and approved the alterations to the OJSC “URALSIB” by-law.

The Bank’s shareholders defined that OJSC “URALSIB” had a right to place the authorized shares in the amount of 100 bln shares at the par value of 10 kopecks in addition to the placed shares. The authorized shares accord a scope of rights equivalent to the scope of rights accorded by the placed shares.

According to the AGM decision the unemployed funds of OJSC “URALSIB” in the amount of 14.7 bln rubles will be accounted as total amount on the unallocated profit account. The accounting and drawing on of the unemployed funds will be performed in accordance with the Russian Federation legislation and the Bank’s regulations.
