OREANDA-NEWS. On 13 July 2009 was announced, that the annual general meeting of shareholders of Sibirtelecom, the biggest telecommunication operator in Siberian Federal District, took place in Novosibirsk. It was attended by shareholders that own in aggregate 68.244% of the voting (ordinary) shares.

The annual general meeting of shareholders approved the annual report, annual financial statements, including the profit and loss statement (profit and loss account) of the Company, distribution of profit (including payment of dividends) and loss of the Company according to the results of the reporting fiscal year 2008. According to the decision about payment of dividends, Sibirtelecom will use 522,963,863 rubles including: 0.052939 rubles per share for preferred shares and 0.026313 rubles per share for ordinary shares. 1,584,037,585 rubles will be used to increase the equity capital of the Company.

A new Board of Directors was chosen that includes:

1.       Vladimir Konstantinovich Verbitsky;

2.       Bogdan Ivanovich Golubitsky;

3.       Alexander Vladimirovich Kachurin;

4.       Gennady Georgiyevich Kudryavtsev;

5.       Mikhail Aleksandrovich Leshchenko;

6.       Alexey Alexeyevich Lokotkov;

7.       Andrey Vladimirovich Morozov;

8.       Anatoly Ivanovich Nikulin;

9.       Igor Borisovich Pshenichnikov;

10.   Igor Nikolayevich Repin;

11.   Yevgeny Valeryevich Yurchenko.

The Auditing Commission of Sibirtelecom OJSC was chosen. It consists of 5 members:

1.       Yekaterina Sergeyevna Yerofteyeva;

2.       Olga Grigoryevna Korolyova;

3.       Alexey Vadimovich Kravchenko;

4.       Denis Aleksandrovich Obmoin;

5.       Natalya Vadimovna Feoktistova.

KPMG CJSC was approved to be the external auditor of the Company for 2009.

Some rates (percentage) of assignments for the calculation of annual remuneration to members of the Board of Directors of Sibirtelecom OJSC that are elected at the annual general meeting of shareholders were approved. They made up 0.26% of EBITDA of the Company based on financial statements according to IFRS for 2009; 0.78% of the amount of Company’s net profit used to pay dividends in accordance with the results of 2009.

The meeting of shareholders made alterations and additions to the Articles of Association of the Company, approved a new version of Regulations on the Board of Directors of Sibirtelecom OJSC.

General meeting of shareholders also made a decision to terminate membership of the Company in International Congress of Telecommunication Quality.
